Terms of Service

By accessing or using our website and services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our services.

These Terms apply to all visitors, users, and others who access or use our services, including but not limited to clients who engage us for custom software development projects.

EidoSoft provides custom software development services including but not limited to:

• Custom web application development
• Mobile application development
• E-commerce platform development
• API development and integration
• Database design and optimization
• SEO and digital marketing services
• Technical consultation and strategy
• Maintenance and support services

Specific services, deliverables, timelines, and costs will be outlined in separate project agreements or statements of work.

When using our services, you agree to:

• Provide accurate and complete information
• Respond promptly to requests for feedback, approvals, and materials
• Provide necessary access to systems, accounts, and resources
• Respect intellectual property rights of third parties
• Comply with all applicable laws and regulations
• Not use our services for illegal or unauthorized purposes
• Maintain the confidentiality of login credentials and account information

You are responsible for ensuring that all content, materials, and requirements you provide are legal, accurate, and do not infringe on third-party rights.

Client-Owned Work Product

Upon full payment of all fees, you will own the custom code, designs, and deliverables specifically created for your project, subject to the following exceptions:

• Third-party software, libraries, and frameworks remain owned by their respective owners
• Pre-existing EidoSoft tools, methodologies, and general knowledge
• Open-source components used in the project

EidoSoft Rights

EidoSoft retains the right to:

• Use general knowledge, skills, and experience gained from projects
• Showcase completed work in portfolios and marketing materials (with client consent)
• Reuse non-proprietary code patterns and methodologies

Payment Schedule

Unless otherwise specified in your project agreement:

• 50% deposit required before project commencement
• Remaining 50% due upon project completion and delivery
• For larger projects, payments may be structured in milestones

Late Payments

Invoices are due within 30 days of issuance. Late payments may incur a 1.5% monthly service charge and may result in suspension of services until payment is received.

Refund Policy

Refunds are handled on a case-by-case basis. Completed work and time invested cannot be refunded, but unused portions of prepaid services may be eligible for refund at EidoSoft's discretion.

Project timelines are estimates based on the information available at project start. Delays may occur due to:

• Changes in project scope or requirements
• Delayed feedback or approvals from client
• Technical challenges or third-party dependencies
• Force majeure events beyond our control

We will communicate any potential delays promptly and work with you to minimize impact on your business objectives.

Limited Warranty

We warrant that our services will be performed in a professional manner consistent with industry standards. We provide a 30-day warranty on custom code to be free from defects in materials and workmanship.

Disclaimers

EXCEPT AS EXPRESSLY SET FORTH ABOVE, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EIDOSOFT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, REGARDLESS OF THE THEORY OF LIABILITY.

Our total liability for any claims arising from or related to our services shall not exceed the total amount paid by you for the specific services giving rise to the claim.

We understand that you may share confidential information with us during the course of our engagement. We agree to:

• Maintain the confidentiality of your proprietary information
• Use confidential information only for the purpose of providing services
• Not disclose confidential information to third parties without consent
• Return or destroy confidential information upon request

This obligation survives termination of our agreement and continues indefinitely.

Either party may terminate the agreement with 30 days written notice. Upon termination:

• You will pay for all work completed and expenses incurred
• We will deliver all completed work products
• Each party will return confidential information
• Sections regarding confidentiality, intellectual property, and limitation of liability survive

We may terminate immediately for breach of these Terms or non-payment of fees.

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on our website and updating the "Last Updated" date.

Your continued use of our services after such modifications constitutes acceptance of the updated Terms.
